1. Agreement to Terms

By accessing or using the services provided by Keystonesaas LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Keystonesaas LLC provides custom software development services, including but not limited to:

• Custom software application development
• Web and mobile application development
• IT consulting and technical advisory services
• Software maintenance and support
• System integration and automation services

3. Service Engagement

All projects begin with a consultation to understand your requirements. Upon agreement, we will provide:

• A detailed project proposal outlining scope, timeline, and deliverables
• A service agreement or contract specifying terms and conditions
• Clear pricing and payment terms

Services commence only after mutual agreement and receipt of initial payment as specified in the project contract.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approvals in a timely manner
• Make payments according to the agreed-upon schedule
• Provide necessary access to systems, tools, and resources as required
• Comply with all applicable laws and regulations

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• An initial deposit may be required to commence work
• Milestone-based payments may be established for larger projects
• Final payment is due upon project completion and delivery
• Late payments may incur additional fees as specified in the contract
• All fees are in USD unless otherwise specified

6. Intellectual Property Rights

Upon full payment for services:

• Custom-developed code and deliverables become your property
• We retain rights to any pre-existing tools, frameworks, or libraries used
• We may use the project as a portfolio piece unless confidentiality is agreed upon
• You grant us permission to display your logo and project description in our portfolio

7. Confidentiality

We maintain strict confidentiality regarding all client information and project details. Both parties agree to:

• Protect confidential information disclosed during the engagement
• Use confidential information solely for the purpose of the project
• Not disclose confidential information to third parties without consent

8. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. However:

• Services are provided "as is" without warranties of any kind beyond those expressly stated
• We do not guarantee specific business results or outcomes
• We are not liable for losses resulting from third-party services or platforms

9. Limitation of Liability

To the maximum extent permitted by law, Keystonesaas LLC's total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific services giving rise to the claim.

10. Termination

Either party may terminate the service agreement with written notice. Upon termination:

• Client is responsible for payment of all work completed up to the termination date
• We will deliver all completed work and project materials
• Both parties will return or destroy confidential information as required

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Continued use of our services after changes constitutes acceptance of the revised terms.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
